Civil Code: Authorized Representation - 3

Article 169 No transfer of authorized representation shall be valid unless approved or ratified by the principal.
 
Where the transfer of authorized representation is approved or ratified by the principal, the principal may directly instruct the new representative as to the business authorized, and the original representative shall be solely responsible for the selection of and its instructions to the new representative.
 
Where the transfer of authorized representation is approved or ratified by the principal, the original representative shall be held liable for the acts of the new representative unless the representation is transferred in case of an emergency to protect the principal's interests.
 
Article 170 A civil juristic act committed by a person performing duties for and in the name of a legal entity or an unincorporated entity within the scope of its functions and powers shall be binding on such legal entity or unincorporated entity.
 
No restriction imposed by a legal entity or an unincorporated entity on the scope of the functions and powers of a person performing duties for such legal entity or unincorporated entity may be pleaded as a defense against any bona fide counterparty.
